1. Introduction

Welcome to RevMRR. These Terms of Service (“Terms”) govern your use of our platform, which verifies and displays real startup revenue data and provides a marketplace for connecting founders, buyers, and investors interested in startup acquisitions.

2. Acceptance of Terms

These Terms constitute a legally binding agreement between you (“User,” “you,” or “your”) and RevMRR (“RevMRR,” “we,” “us,” or “our”), governing your access to and use of the RevMRR website, directory listings, marketplace features, APIs, and tools (collectively, the “Platform”).

By accessing, browsing, registering for an account, submitting a listing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Platform.

You represent that you are at least 18 years of age (or the age of majority in your jurisdiction) and have full legal authority to enter into these Terms on behalf of yourself or the entity you represent.

3. Data Collection & API Key Security

3.2 What We Collect

Through your connected provider, we collect only revenue-related metrics: gross volume, Monthly Recurring Revenue (MRR), Annual Recurring Revenue (ARR), growth rate, aggregate customer and subscription counts, and basic business information (name, logo, website, description) that you choose to publish.

3.3 What We Do NOT Collect

We explicitly do not collect or store your customers’ personal information. That means no customer names, emails, addresses, payment methods, card numbers, or individual transaction or invoice details — only the aggregated, anonymized totals you choose to display on your profile (e.g. “$12,400 MRR”).

4. How We Use Your Data

Revenue metrics are used to display a startup’s Verified Revenue badge, place it in directory rankings and leaderboards, calculate growth trends, and power search and comparison tools. Connected data typically refreshes on a regular automated schedule, and you may revoke provider access at any time from your dashboard.

5. Data Accuracy & Verification Badges

All revenue figures displayed on a Verified profile are pulled directly from your payment provider’s API — we do not modify or manipulate this data. RevMRR features three trust badges: Founder Verified (proven ownership or founder authority), Company Verified (business and domain legitimacy), and Verified Revenue (a read-only connection to an approved payment processor).

Verification is never for sale. Sponsoring a placement or paying for an advertising slot has zero effect on whether a badge is awarded or maintained. Badges reflect metrics verified at a specific point in time — they are not an ongoing audit, a guarantee of future performance, or a financial endorsement by RevMRR.

Submitting falsified, inflated, or manipulated revenue, customer counts, or valuation metrics — including connecting a provider with altered tokens or test-mode data disguised as production revenue — will result in immediate termination of your account and permanent revocation of all verification badges.

6. Your Rights & Controls

You may, at any time: remove a startup listing, revoke a connected provider’s access by deleting or rotating your API key, request deletion of your account and data, and update or correct your startup’s information from your dashboard.

7. Third-Party Payment Providers

RevMRR integrates with third-party payment providers to read revenue data. Your use of those providers remains subject to their own respective terms of service and privacy policies, and RevMRR assumes no responsibility for their practices, availability, or accuracy.

8. Intellectual Property & Acceptable Use

The RevMRR website, interface designs, codebase, logos, database schemas, and proprietary compilations are the exclusive intellectual property of RevMRR. Third-party product names, logos, and trademarks displayed on startup profiles remain the property of their respective owners and are shown purely for identification and descriptive fair use.

You agree not to: scrape, harvest, or crawl the Platform using bots or automated scripts without prior written permission; overload or interfere with platform infrastructure or circumvent rate limits; attempt to reverse engineer, probe, or breach authentication mechanisms or private endpoints; or impersonate any person, founder, brand, or RevMRR staff member. A confirmed material violation may result in permanent loss of access to the Platform.

9. Startup Listings, Claiming & Community Content

You may only submit or claim a business profile if you are an authorized officer, owner, founder, or designated representative of that entity, and you agree to provide truthful, accurate, and current information. RevMRR reserves the right, in its sole discretion, to reject, modify, unpublish, or delete any listing containing fraudulent figures, infringing content, or misleading information.

Users may also post updates, comments, and reactions on the RevMRR Feed. You retain ownership of anything you publish, but grant RevMRR a non-exclusive, royalty-free license to display and distribute it across the Platform. Defamatory, abusive, or false statements, and content that breaches a third party’s rights, are prohibited.

10. Acquisition Marketplace & Disclaimer of Brokerage

When you list a business for sale or submit an acquisition inquiry:

• Direct negotiations: All discussions, letters of intent, purchase agreements, valuations, and financial settlements occur directly between the buyer and the seller. RevMRR is not a party to any transaction between users, and any funds transfer, escrow arrangement, or asset handover is arranged independently and directly between them.
• Independent due diligence: Buyers are solely responsible for conducting comprehensive legal, technical, and financial due diligence, and should engage their own qualified attorneys and accountants before completing any purchase.
• No verification or warranty of marketplace listings: RevMRR does not verify, validate, or guarantee the solvency, creditworthiness, or good faith of any prospective buyer, nor the completeness or accuracy of any seller’s disclosures.

11. Paid Placements & Advertising

RevMRR offers one transparent, self-serve advertising product — the Side-Panel Sponsor placement. Every sponsored placement is prominently labeled “Sponsored” and rendered in distinct styling; sponsor cards are never disguised as organic listings and never confer a verification badge. Sponsor slots are strictly capped across the platform. We do not permit advertisements promoting illegal substances, predatory loans, deceptive financial schemes, malware, or adult content, and may remove any advertisement violating these standards without refund.

12. Fees, Payments & Refunds

Startup listings are free. The only paid product currently offered is the Side-Panel Sponsor placement at $599 per 30 days, along with optional listing add-ons (such as a website link or AI-visibility boost) priced in-app. Transactions are securely processed through third-party payment providers; by purchasing, you authorize our payment processor to charge your specified payment method.

All sales are final. Because sponsor placements and digital listing add-ons are delivered immediately upon payment, they are non-refundable once live, unless required by applicable statutory consumer law.

13. Disclaimers & Limitation of Liability

“As is” provision: The Platform is provided on an “as is” and “as available” basis without warranties of any kind, express, implied, or statutory. RevMRR does not warrant that the service will be uninterrupted, timely, secure, or free from errors, nor the accuracy or completeness of financial metrics, revenue histories, or business claims obtained through the directory or marketplace.

Exclusion of consequential damages: To the maximum extent permitted by law, RevMRR shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, revenue, data, or business opportunities — arising from your use of the Platform, startup profiles, verification badges, or marketplace communications.

Cap on monetary liability: Our total aggregate liability arising out of these Terms shall not exceed the greater of one hundred US dollars ($100 USD) or the amount you paid RevMRR in the twelve (12) months preceding the claim.

14. Indemnification

You agree to defend, indemnify, and hold harmless RevMRR, its officers, directors, and agents from any claims, damages, or costs (including reasonable attorneys’ fees) arising from: your use of the Platform; your violation of these Terms or any third-party right; any startup profile, financial metric, or content you submit; or any dispute or transaction between you and any buyer or seller contacted through the Platform.
